Terms of Service
The agreement between you and Moor Innovations Inc covering your use of the NextIP service.
Last updated October 6, 2026
1. Agreement
These Terms of Service govern your use of the NextIP platform operated by Moor Innovations Inc ("we", "us"). They include the Acceptable Use Policy, the Privacy Policy and the E911 Disclosure, which form part of this agreement. You accept them on behalf of yourself and any organisation you represent by ticking the acceptance boxes in the portal.
If you do not agree, do not use the service. We may update these terms. Material changes are notified by email to the address on your account at least thirty days before they take effect, and you will be asked to accept the updated terms in the portal before you continue to use it.
2. The service
NextIP provides interconnected VoIP calling through SIP endpoints, telephone numbers, cloud PBX features, messaging and related APIs.
We do not provide the internet connection, power or customer premises equipment that your service depends on. Call quality and availability depend on factors outside our control, including your local network.
2a. Business accounts and verification
NextIP is a service for businesses and organisations. Each account is opened for a business, by a representative authorised to act for it, and is verified before service starts: we check the business details, tax identification number (EIN or Business Number) and documents you provide.
The information you give us must be true, complete and kept up to date. We may ask for more information at any time, including after your account opens, and we may refuse an application or suspend or close an account that does not pass verification or that we reasonably believe was opened with false information.
3. Accounts and security
You are responsible for all activity under your account, including activity by your endpoints, your end users and any third party you give credentials to. Keep SIP passwords and API keys confidential.
Notify us immediately if you suspect unauthorised use. You remain responsible for charges incurred before we are able to act on that notice.
4. Plans and billing
Your account runs on a prepaid balance. Charges are deducted from it as they arise.
- Each SIP endpoint is on the plan you choose when you create it. The plans, their monthly fees, their included minutes and their per-minute rates are published on our pricing page.
- An endpoint's monthly fee is charged to your balance on the day you create it, and again on the same date each month until you delete the endpoint.
- Included minutes apply to each endpoint for each monthly billing period. Unused minutes do not carry over.
- Calls beyond the included minutes are charged at your plan's published per-minute rate for the destination, in the billing increment shown for that plan.
- Setup fees shown on the pricing page are currently waived. If we start charging them, we will give thirty days' notice, and they will apply only to endpoints created after that date.
- Each plan includes the features listed for it on our pricing page. Features your plan does not include, such as the Digital Receptionist or custom music on hold, can be added to your account as add-ons at their monthly price. An add-on is charged to your balance when it is added and on the same date each month until it is removed; removing it stops further charges, and the current month is not refunded.
- If a feature stops being available to you, because your plan changes or an add-on is removed, anything you set up with it keeps working until you change or delete it, but you cannot create or change it in the portal.
- Telephone numbers, messaging, E911 registration, caller name (CNAM) and other services are charged at their published rates.
- Taxes and regulatory fees are charged where applicable and shown separately where the law requires it.
5. Insufficient balance and suspension
If your balance cannot cover a charge when it falls due, the endpoints and numbers it relates to may be suspended until the balance is restored. Numbers that remain suspended for thirty days may be released and may not be recoverable.
A suspended account may not be able to make emergency calls. Keep your balance funded if you rely on the service for emergency calling.
6. Cancelling
You can delete an endpoint or release a number in the portal at any time. Deleting stops further monthly charges for it. Monthly fees already charged for the current billing period are not refunded or prorated.
You may close your account at any time. Prepaid balances are non-refundable except where the law requires otherwise. Numbers assigned to your account are released on closure unless you have started a port-out before the closure date.
7. Price changes
We may change plan fees, included minutes or per-minute rates with at least thirty days' notice by email. If you do not accept a change, you may delete the affected endpoints before it takes effect. Rates for some destinations can change at shorter notice when our carriers change them, and we publish those changes as soon as they take effect.
8. Acceptable use
Your use of the service is subject to our Acceptable Use Policy. Traffic that violates it may be blocked without notice.
9. Emergency calling
Emergency calling on an interconnected VoIP service works differently from traditional telephone service and has material limitations. You must read and acknowledge the E911 Disclosure before using the service, register a location for each number you will use for emergency calls, and pass the disclosure and warning labels on to everyone who uses your service.
10. Suspension and termination
We may suspend or terminate service for non-payment, suspected fraud, abuse, or where required by law or a regulator. Where we can, we will contact you before acting.
11. Warranties and liability
The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the amounts you paid Moor Innovations Inc in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, or for lost profits or revenue.
12. Records of acceptance
When you accept these terms or acknowledge the E911 Disclosure, we record the documents and versions you accepted, the date and time, and the IP address and browser you used. We keep that record for as long as your account exists and for the period the law requires afterwards.
13. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts of Ontario have exclusive jurisdiction, except where the law of your place of residence gives you a right to bring proceedings there.
